Anthony Advisors, Inc. ("AAI") assists private equity firms in understanding particular industries and investing in those industries' most valuable companies. We are a full-service partner for our clients throughout the acquisition process, providing assistance every step of the way from identifying attractive targets to closing the transaction. Anthony Advisors has a strong track record of delivering results to our clients because:

Following are more detailed descriptions of the two main areas of our business.
Buy-Side Advisory
AAI has been supporting leading private equity firms for many years in the identification of attractive target industries and solid targets within those industries. We assist our clients in all aspects of evaluation and acquisition of those targets. Our process in working with our clients is usually as follows:
1. Market Identification
AAI helps our clients invest in new and emerging markets. In some cases, we are asked to research a particular industry and identify attractive targets that exist within it. In other cases, AAI is engaged to research multiple industries that have operating dynamics making them attractive for aggregation. Generally these dynamics include: strong operating leverage, non-financial barriers to entry, lack of consolidation, and the potential to thrive under superior management. Once an industry is identified as attractive, we evaluate its fit for our client. If it is a good match, AAI works with our client to develop a strategy to enter this market.
2. Target Identification & Client Liaison
Once the industry is identified and a strategy developed, AAI researches the universe of available target firms that fit the parameters needed to be both attractive acquisitions and to fit the strategy developed with our client. AAI then contacts these desirable targets, evaluates fit and interest and visits the leading candidates with our client.
3. Target Evaluation and Assessment
AAI compiles detailed operating data on all targets visited. Once a target is judged a fit and has indicated its interest in further discussion, AAI helps our client assess each firm's strengths, weaknesses, trajectory and fit.
4. Offer and Negotiation
AAI assists its clients in structuring transactions, preparing Letters of Intent (“LOI”), presenting the LOI to the target and negotiating the LOI to a successful agreement. AAI can add substantial value at this stage by acting as intermediary for our client.
5. Diligence and Evaluation
Once the LOI is accepted, AAI assists its client in collecting and organizing diligence material from the target company. AAI is happy to assist with the analysis of this data, but the final analysis and determination rests with our client.
6. Closing
AAI has negotiated dozens of asset purchase agreements and merger agreements. We are delighted to assist our client and its legal team in negotiating these agreements to a successful close.
Sell-Side Advisory
Although AAI does not normally engage in selling businesses, we will occasionally do so for an established client. The following represents a general overview of our process:
1. Understanding Current Market Conditions
AAI works with their sell-side clients to understand the current market conditions, what sorts of buyers would pay the most for their assets, how to best offer those assets to the market (as a whole or by division), and who are the natural acquirers of and best prospects to approach for their business.
2. Preparing the Offering Memorandum
We work with our client to package the key information necessary to present their firm in the most compelling way to the market.
3. Offering the Business for Sale
AAI decides with the client which of the potential buyers to approach first. In approaching these buyers, AAI uses its relationships and information it is able to gather on the mindset and acquisition behavior of various buyers to appropriately present the business for sale.
4. Negotiating the Letter Of Intent
AAI drafts a Letter of Intent and negotiates the terms of sale on behalf of our client.
5. Closing the Deal
AAI's years of experience help sellers navigate the tricky world of asset purchase agreements and merger agreements and allow us to negotiate the best possible terms for our clients in the sale of their business.
